1. Agreement

By using flowmindstudio.com or engaging FlowMind Studio LLC ("FlowMind Studio," "we," "us") for services, you ("Client") agree to these Terms of Service. These Terms govern all website design, SEO, branding, and consulting services we provide.

Submitting our contact form or agreeing to a project proposal constitutes acceptance of these Terms.

2. Services

We offer the following core service packages:

Custom scopes and add-on services are defined per project in a written proposal or confirmed message exchange agreed upon by both parties. Prices are in U.S. dollars.

3. Payment Terms

The deposit is non-refundable once active work has begun (design files, copywriting, or development are underway). If you cancel before work begins, a full refund of the deposit will be issued.

4. Project Timeline and On-Time Guarantee

The project timeline starts when: (1) the deposit payment is received, AND (2) you have provided the required onboarding information (business details, goals, existing assets).

If we miss the agreed delivery deadline for reasons within our control, we will continue working at no additional charge until the project is delivered. Delays caused by client unavailability — including delayed feedback, delayed content delivery, or unanswered approvals — pause the timeline and do not count toward this guarantee.

5. Revisions

Total Presence™ includes unlimited design revisions during the active project phase. We revise any element until you are satisfied. Revisions must be requested before final delivery acceptance.

Digital Foundation includes two full revision rounds. Additional rounds may be requested and will be billed at our standard hourly rate.

After you accept final delivery, changes to content, design, or functionality are treated as post-launch support requests (see Section 6) or new scopes.

6. Post-Launch Support

Total Presence™ includes 60 days of priority support after the site goes live, covering:

Support does not cover adding new pages, new sections, feature additions, or redesigns — those are treated as new project scopes. After the support period, ongoing maintenance is available on request at agreed rates. There is no obligation to continue.

7. Intellectual Property and Ownership

Upon receipt of full payment, you own all custom website files, written copy, and brand assets created specifically for your project. You may host, modify, and transfer these files freely.

We retain the right to display your completed project as a portfolio sample and case study on our website and marketing materials, unless you request in writing (before project completion) that we do not.

Third-party assets used in your project (stock photos, font licenses, icon libraries) are subject to their respective license terms. We will inform you of any licensing conditions that affect your use of the deliverables.

8. SEO and Performance Disclaimer

We implement current best practices for local SEO, technical SEO, page performance, and Google Business Profile optimization. However, search engine rankings, traffic levels, and revenue outcomes depend on factors entirely outside our control — including Google's algorithm, your competitors, your domain history, and local market conditions.

Performance metrics referenced on our website (Lighthouse scores, visibility increases, lead improvements) reflect typical results from our portfolio. They are not guaranteed outcomes for your specific project.

9. Limitation of Liability

To the maximum extent permitted under Texas law, FlowMind Studio's total liability for any claim arising from our services is limited to the total amount you paid for the project in question. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost revenue, or lost business opportunities.

10. Confidentiality

We treat all information you share with us — including business strategy, pricing, customer data, and financial information — as strictly confidential. We will not disclose this information to third parties beyond what is necessary to complete your project.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law provisions.

Any dispute will first be addressed through good-faith negotiation. If not resolved within 30 days of written notice from either party, disputes will be resolved by binding arbitration administered by the American Arbitration Association in Travis County, Texas, under its Commercial Arbitration Rules. Both parties waive the right to a jury trial. Class actions are not permitted.

Either party may seek injunctive relief in state or federal courts in Travis County, Texas, for urgent matters that cannot wait for arbitration.

12. Entire Agreement

These Terms, together with any written project proposal accepted by both parties, constitute the entire agreement between you and FlowMind Studio regarding our services. They supersede any prior discussions or representations.

13. Changes to These Terms

We may update these Terms to reflect changes in our services or applicable law. For active projects, the terms in effect at the time your deposit was paid apply. For new engagements, the current terms apply at the time of the deposit.
